An electronic proof provided by the printer is a PDF file of the interior and a PDF file of the cover with the corresponding cut marks on the cover. The color on the cover may be different on the customer`s monitor than in the final printed books. If customer reprints Customer`s book, Customer acknowledges that this Agreement may have changed and must accept the updated Agreement in order to reprint it. Payment of a reprint order constitutes acceptance and acceptance of the current contract at the time of renewal. Whether or not new proof is requested, a fee of $100.00 per modified file is charged to upload the new files to the printer. When new physical proof is ordered, an additional fee of $100.00 will be charged for ordering each additional physical proof. Additional electronic evidence may be requested free of charge. The customer acknowledges that, depending on the printer, a proof may or may not be fully connected, printed on the final materials or provided with a cover and/or lamination. If the Customer`s books are printed in an establishment that does not offer bound proofs, the Customer acknowledges that this is not negotiable. Customer acknowledges that Hillcrest, at Hillcrest`s discretion, will select an appropriate printer based on customer-specified original order quantity specifications and other factors. Termination of all other services provided by Hillcrest is set forth in the terms and conditions of such services under a separate agreement for any of these services. This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement, whether oral or written.

This Agreement supersedes all prior written or oral agreements between the parties. The Customer acknowledges that some physical proofs contain cut-off marks (indicating where the cover and/or inside of the Customer`s book will be cropped during the actual printing process). The Customer acknowledges that it is the Customer`s responsibility to verify these cutting marks when verifying the physical proof, and that the approval of a physical proof containing cutting marks also indicates consent to the place where the book cover and/or interior will be cut. Hillcrest will review offers issued via our automated system or by email for 30 days from the date the offer was made. Please note that shipping costs are not included in the offer. Shipping cost estimates are not available until final approval of the evidence has been received, as shipping sizes and weights are unknown until then. Shipping costs will be added to the customer`s last payment payment. Shipping is made by the most economical method available (usually UPS or FREIGHT), unless the customer concludes other agreements. Upon receipt of the physical or electronic evidence, the customer undertakes to immediately examine the cover proof and the inner proof for errors on the cover or inside the book, including errors in content. The customer can pay with a certified check or a bank check (no professional or personal checks) or by credit card (MasterCard, Visa, Discover or AMEX). If the customer pays by credit card, an additional 4.5% will be added to cover the credit card processing fee charged to Hillcrest by its credit card processing company. All print jobs come with a final fee and are paid before the books are shipped.

Final fees included For all initial prints with new files (initial editions and reprints with new files), the Customer pays by one of the methods mentioned in Section 7A above as follows: Additional fees will be charged for any changes requested by the Customer after the approval of the proof and the beginning of printing. Hillcrest will make an offer to the customer for the change and the customer can decide whether or not to stop the printing process and make the changes. In this case, the order is delayed. Payment for changes must be made by the customer before the changes are completed. The Customer must provide accurate delivery addresses and telephone numbers, as well as any special shipping requests or instructions, prior to the commencement of the Customer`s proof order. Hillcrest will make every effort to respond to changes to shipping.B requests (e.g., change of address, quantity adjustments between multiple shipping destinations, etc.) after submitting the proof order, but cannot guarantee that such changes can be made if Hillcrest`s print partners determine that it is too late in the printing process to make shipping adjustments. The customer acknowledges that no books will be shipped until all funds are due to Hillcrest for this print job and related items (. B shipping, file changes, etc.). The customer acknowledges that climatic variations can cause deformation of the books. The customer further acknowledges that deformation can be minimized by shrink film and that the customer can choose hillcrest shrink film books for shipping and that additional charges will apply. Hillcrest is not responsible for damage to the books caused by bad weather, but helps the customer to file claims with freight delivery companies as long as the shipment has been packaged in shrink film. If the books are not stored in an air-conditioned facility, Hillcrest is not responsible for any damages.

This Agreement and all related documents (including all attached annexes) and all matters arising out of or relating to this Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, United States of America, without regard to its conflict of laws rules, to the extent such principles or rules require the application of the laws of any jurisdiction other than that of the State; or would allow. ==References== Each party irrevocably and unconditionally agrees that it will not bring any action, dispute or proceeding of any kind against any other party in any way arising out of or in connection with this Agreement and any proposed transaction, including, but not limited to, contracts, equity, tort, fraud and legal claims, in any forum other than the United States District Court for the District of Minnesota or, if such court has no substantive jurisdiction, the courts of the State of Minnesota located in Hennepin County. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of such courts and agrees to bring any such action, dispute or proceeding only in the United States District Court for the District of Minnesota or, if such court has no substantive jurisdiction, in the courts of the State of Minnesota located in Hennepin County. Each party agrees that a final judgment in such action, dispute or proceeding shall be conclusive and may be enforced in other jurisdictions by bringing an action for judgment or by any other means provided by law. The Customer understands” that “ready to print” means that the file: Hillcrest provides the Customer with a physical and/or electronic proof of the Customer`s book. If Hillcrest has provided both the print-ready cover and the interior fittings on behalf of the Customer, the Customer must order a physical proof at the time of his print request. In all other cases, it is up to the customer to determine at the time of the order what type of proof he wishes to receive. Hillcrest may terminate this Agreement if Customer owes Hillcrest funds for additional services, distribution fees or other services (e.B returns, audit fees, internal audit fees, etc.) and hillcrest has not paid within ten (10) business days of receiving an invoice from Hillcrest by mail, email or through the Author Center. This publishing agreement (“Agreement”) is between Customer and Hillcrest Media Group, Inc. DBA BookPrinting.com., 322 First Avenue N, Suite 500, Minneapolis, MN 55401 (“Hillcrest”). By paying Hillcrest for all or part of a book printing order, the Customer acknowledges that the Customer is bound by these Terms and Conditions. If Customer has not purchased distribution services through Hillcrest, Customer acknowledges that Hillcrest may not work with Amazon or any other third party or assist Customer in coordinating shipments to Amazon or other resellers` fulfillment warehouses.

Hillcrest may arrange for the shipment of the books to a personal address of its choice, and Customer is responsible for coordinating its own inventory deliveries to Amazon or another reseller. Hillcrest is not responsible for shipping refusals or additional charges that may arise if the customer provides a shipping address for Amazon or another third party entity. Hillcrest will not be responsible for delays or additional charges that would result in errors in the shipping data provided by the Customer. 2. Book Submission – Print-Ready Electronic Files All notices required or permitted under this Agreement must be addressed to the addresses listed below. Customer: To the address provided by the customer. BookPrinting.com c/o Hillcrest Media Group: 322 First Ave. N. Suite 500, Minneapolis, MN 55401 These terms and conditions constitute a contract for book printing services provided by Hillcrest and its subcontractors and assigns. Customer agrees to provide print-ready electronic files (as defined below), timely proof approval and credit card, certified check, bank transfer or PayPal payment as described below….
